A virtual data room (VDR) accelerates the due diligence process for buyers and sellers. This marks a new age for buyers who are used to having several associates go through a roomful of documents to make sure the company they are buying is worth every cent they are going to spend. Particularly, travel time for armies of associates and young analysts has been reduced. Also, auction transactions are completed immediately because of the adoption of VDR. Physical data rooms have become obsolete because of this technological leap. Accessing information is easy because interested buyers use only a click of a mouse to participate in the warp-speed dealmaking. VDRs are considered a breakthrough in merger-and-acquisition transactions. Several parties can examine important documents for due diligence at the same time by accessing a secure central website. Time and expense are reduced significantly due to the flexibility provided by VDRs. As a result, more buyers are attracted to an auctioned business without logistical restrictions. It has come to a point that sellers cannot complete a transaction without VDRs. Interested parties are requested to sign confidentiality agreements after a thorough screening. Full site access is provided to bidders, with hosting taking care of one of the vendors including Transperfect Deal Interactive, Bowne, Intralinks, and Merrill. But others miss the old-fashioned physical data rooms where potential bidders enjoy the excitement in finding clues from hundreds of documents.
